Shadow Director
-Persons who are not named in the company registers as directors- not formally appointed.
-Their advice /instructions are normally complied/ followed by the majority of “official” directors of the company.
-A person who exerts influence over the company’s directors- actual person running the company
-Carries legal responsibilities of a director.
-A professional adviser CAN NOT be taken as shadow director
Indicators of being a shadow director:
1. Being a signatory to the company’s bank account.
2. Signing contracts or letters on behalf of the company in the capacity of a director.
3. Attendance at board meetings, and participate in decision-making.
